These Terms and Conditions govern your use of our services, including any content, functionality, and services offered on or through the Gratero platform (collectively referred to as "Services"). By accessing or using our Services, you agree to these Terms and Conditions. If you do not agree to the terms, you must refrain from using our platform.

Throughout these Terms, the terms “Company,” “we,” “us,” “our,” and “Gratero” refer to Gratero Technologies Private. Limited. having its registered office at E-6/S-178 Gokul Gram Yojna, Munnukhera, Para, Lucknow, Uttar Pradesh, India - 226009 the provider of these services. The term “you” refers to the user or entity using our Services.

1. Acceptance of Terms

By accessing or using Gratero, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, along with our Privacy Policy and any other applicable agreements that govern your use of our platform. If you do not agree to any of these terms, you must stop using our Services immediately.

We reserve the right to update, change, or modify these Terms and Conditions at any time. It is your responsibility to review these Terms periodically to stay informed of any changes. Continued use of Gratero following the posting of revised Terms means that you accept and agree to the changes.

2. Scope of Services

Gratero provides an online platform designed to help businesses streamline and manage their courier and shipping operations by integrating with multiple logistics providers. Our platform includes a variety of features to help manage shipments, track orders, and process payments.

You agree to:

  • Use Gratero only for lawful purposes and in accordance with these Terms and any applicable laws and regulations.
  • Provide accurate, current, and complete information when using our Services.
  • Not use Gratero in any way that could harm the reputation of the Company, disrupt the Services, or harm other users.

3. Account Registration and Responsibilities

To use certain features of Gratero, you will be required to register for an account. During the registration process, you agree to provide accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

  • Account Security: You must notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any losses or damages caused by unauthorized use of your account.
  • Account Information: You agree to keep your account information up to date and accurate at all times.

4. Fees, Billing, and Payments

Gratero may charge fees for specific services provided through the platform. These fees may vary based on your usage of our Services, including integration fees, transaction fees, or usage-based charges.

  • All fees will be billed according to the billing cycle outlined during registration or within the service agreement.
  • Payment for services must be made by the due date specified on the invoice. Failure to pay by the due date may result in the suspension or termination of your account.

We reserve the right to change our fees at any time. Any changes in fees will be communicated to you in advance, and your continued use of the platform after the effective date of the changes constitutes your acceptance of the new fees.

5. Order Management and Third-Party Services

Gratero facilitates connections between businesses and various third-party courier services. We provide tools to help you manage and track your shipments, but we are not responsible for the actual courier services provided by third parties. This includes, but is not limited to:

  • Courier Delays and Issues: We are not liable for any delays, misdeliveries, or losses caused by the courier companies.
  • Order Disputes: Any disputes or issues regarding orders and deliveries must be resolved between you and the third-party courier.

Gratero merely acts as a facilitator and does not control the operations or policies of these courier services.

6. Account Cancellation and Deletion

If you wish to cancel or delete your account, you may submit a request to our support team at support@gratero.com. Upon receiving your cancellation request:

  • We will generate a final invoice for any pending charges.
  • Any remaining balance in your Gratero wallet will be refunded within 45 days, provided all unpaid invoices are settled.
  • No refunds will be processed until all outstanding invoices have been cleared.

Gratero reserves the right to cancel or suspend your account at our discretion if we detect any violations of these Terms or if you fail to meet your payment obligations.

7. Fraud Detection and Misconduct

Gratero takes fraudulent activities very seriously. If we suspect or detect any fraudulent activity on your account, Gratero reserves the right to take immediate action, including but not limited to:

  • Holding Payments: We may hold your COD remittances, wallet balance, and any pending payments until the issue is fully investigated and resolved.
  • Account Suspension: We reserve the right to suspend or terminate your account in cases of suspected fraud or misconduct.
  • Legal Action: If necessary, we will take legal action against individuals or entities found to be engaging in fraudulent activities.

8. Intellectual Property Rights

All content, software, and materials available on the Gratero platform, including but not limited to logos, trademarks, designs, and user interfaces, are the property of Gratero Technologies Pvt. Ltd. or its licensors and are protected by intellectual property laws.

  • Limited License: You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your own personal or business purposes in accordance with these Terms.
  • Restrictions: You agree not to copy, modify, distribute, or reverse-engineer any part of the platform without our prior written consent.

9. Limitation of Liability

Gratero provides its platform and services on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.

Gratero is not liable for any indirect, incidental, or consequential damages, including but not limited to:

  • Loss of profits, data, or business opportunities.
  • Errors or interruptions in service.
  • Delays, misdeliveries, or damages caused by third-party courier services.

Our maximum liability arising out of or in connection with your use of the platform shall not exceed the total fees paid by you for the services.

10. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Lucknow, Uttar Pradesh.

11. Changes to the Terms and Conditions

Gratero reserves the right to update or revise these Terms and Conditions at any time. Any changes will be posted on this page, and it is your responsibility to review the Terms periodically.

By continuing to use Gratero after such updates or revisions, you agree to be bound by the modified Terms and Conditions.
